1. Parties & Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement entered into between Learno Pty Ltd (ACN 685 398 289) ("Learno", "we", "our", or "us"), and the individual, commercial drone operator, Remotely Piloted Aircraft Operator's Certificate (ReOC) holder, Remote Pilot Licence (RePL) holder, or corporate entity accessing or using the FlightLedger platform ("Customer", "you", or "User").
By registering an account, clicking "Create account" or "Sign Up", or using any component of the FlightLedger web application, API, mobile interfaces, or documentation (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company, partnership, or ReOC entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.
2. Description of the Service
FlightLedger is a Software-as-a-Service (SaaS) cloud platform engineered for Remotely Piloted Aircraft Systems (RPAS) operations in Australia and international jurisdictions. The Platform provides:
- Digital aircraft technical logs, total time in service (TTIS) tracking, and airworthiness gating;
- Battery Management System (BMS) cycle tracking, internal resistance telemetry, and safety quarantine controls;
- Personnel flight logbooks, crew duty hour tracking, and remote pilot proficiency expiry tracking;
- Job Safety Analysis (JSA) risk matrices, pre-flight checklists, dispatch signoffs, and post-flight debrief logs;
- Automated compliance countdowns, CASA instrument registers, and regulatory audit export packages.
3. CASA Aviation Regulatory Framework & Non-Delegation
3.1. Statutory Responsibility: Aviation in Australia is regulated by the Civil Aviation Safety Authority ("CASA") pursuant to the Civil Aviation Act 1988 (Cth), the Civil Aviation Safety Regulations 1998 (CASR), and the CASR Part 101 Manual of Standards (MOS).
3.2. No Operational Delegation: FlightLedger is an administrative record-keeping and workflow support system. Learno is not an Air Navigation Service Provider, Air Traffic Control (ATC) authority, or aviation safety delegate. Neither FlightLedger nor Learno commands, steers, pilots, inspects, or guarantees the airworthiness of any aircraft.
3.3. Sole Responsibility of RPIC and CRP: The Customer explicitly acknowledges and agrees that:
- The Remote Pilot in Command (RPIC) has sole and absolute legal responsibility for the safe execution of every flight, including physical pre-flight airframe inspections, battery voltage checks, site hazard surveys, airspace verification, weather suitability, and compliance with the 30-metre non-operating person rule and 400ft AGL ceiling.
- The Chief Remote Pilot (CRP) retains non-delegable operational oversight and supervisory responsibility under the operator's Operations Manual and ReOC conditions.
- FlightLedger calculations (including battery cycle warnings, TTIS countdowns, and instrument expiry reminders) are algorithmic conveniences and must be independently verified against original manufacturer flight manuals and CASA instruments.
4. User Accounts, Security & Multi-Tenant Access
4.1. Account Registration: To access the Platform, you must register with a valid email address and secure password. You agree to provide accurate, current, and complete details regarding your organisation, ReOC number (if applicable), and personnel credentials.
4.2. Account Security: You are strictly responsible for maintaining the confidentiality of your credentials. You must immediately notify Learno at support@learno.com.au if you suspect any unauthorised access or security compromise.
4.3. Tenant Isolation: FlightLedger utilises strict database Row-Level Security (RLS) to segregate customer workspaces. You agree not to attempt to circumvent, probe, or breach the multi-tenant isolation barriers of the Platform.
5. Subscriptions, Fees & Billing
5.1. Subscription Plans: Access to FlightLedger is offered on recurring subscription tiers (monthly or annual) or enterprise licenses as specified on our pricing schedule.
5.2. Payment Currency: Unless explicitly stated otherwise, all fees are quoted and payable in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST), which will be added at the prevailing rate under A New Tax System (Goods and Services Tax) Act 1999 (Cth).
5.3. Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled by you prior to the renewal date via the billing management portal.
6. Customer Data & 7-Year CASA Statutory Retention
6.1. Data Ownership: As between you and Learno, you retain all right, title, and interest in and to your operational flight data, aircraft specifications, flight coordinates, crew logbook records, and proprietary client documents ("Customer Data").
6.2. License to Learno: You grant Learno a non-exclusive, worldwide, royalty-free license to host, copy, process, and transmit Customer Data solely for the purpose of operating, maintaining, and improving the Platform and fulfilling our legal and regulatory obligations.
6.3. 7-Year Regulatory Retention Mandate: Under CASR Part 101 MOS Section 10.02, commercial RPAS operators must retain all operational flight records, technical logs, and maintenance histories for at least seven (7) years. In the event of subscription termination or account cancellation, Learno will provide you with a facility to export your complete operational history in standard formats (CSV, JSON, PDF). To the extent required by Australian law or to defend against regulatory enforcement claims, Learno reserves the right to securely archive audit trail logs for the duration of the statutory limitation and aviation record period.
7. Intellectual Property Rights
Learno retains all intellectual property rights, copyright, trademarks, trade secrets, patents, software code, user interface designs, and algorithms embodied in FlightLedger. Nothing in these Terms grants the Customer any ownership right or interest in the Platform other than the limited, revocable, non-exclusive right to access and use the Platform during the active subscription period.
8. Third-Party Integrations, Telemetry & Flight Logs
FlightLedger may allow the import of flight logs and telemetry from third-party aircraft (e.g. DJI, Autel, Wingtra, Skydio) or external airspace services. Learno does not warrant the accuracy, timeliness, completeness, or integrity of data ingested from third-party hardware, sensors, firmware, or external APIs. You are solely responsible for verifying the accuracy of imported flight times and coordinates.
9. Service Availability & Modifications
We endeavor to maintain high platform availability, hosted within high-availability Sydney data centres. However, we do not warrant that access will be continuous, uninterrupted, or error-free. We may perform scheduled or emergency maintenance from time to time. You agree that mission-critical flight planning should never rely exclusively on a single internet-connected tool while operating in remote or low-connectivity Australian field environments.
10. Australian Consumer Law (ACL) Guarantees
10.1. Under Schedule 2 of the Competition and Consumer Act 2010 (Cth) ("Australian Consumer Law" or "ACL"), consumers and small businesses are entitled to certain statutory guarantees that cannot be excluded, restricted, or modified by contract.
10.2. Nothing in these Terms excludes, limits, or modifies any guarantee, right, or remedy conferred on you by the ACL that cannot lawfully be excluded.
10.3. Where Learno is liable for breach of a non-excludable statutory guarantee, our liability is limited, at our election, to: (a) supplying the services again; or (b) payment of the reasonable cost of having the services supplied again.
11. Limitation of Liability & Exclusion of Consequential Loss
11.1. To the maximum extent permitted by applicable Australian law:
- Learno, its directors, officers, employees, and agents shall NOT be liable for any indirect, incidental, special, punitive, exemplary, or consequential loss or damages whatsoever, including without limitation: loss of profits, loss of commercial drone contracts, aircraft crash damage, total hull loss, battery thermal runaway or fire, sensor payload destruction, ATSB investigation costs, or CASA regulatory enforcement fines.
- Learno's total aggregate liability arising out of or relating to these Terms, whether in contract, tort (including negligence), statute, or equity, shall be strictly capped at the total amount paid by the Customer to Learno in the twelve (12) months immediately preceding the event giving rise to the claim.
12. Customer Indemnification
You agree to defend, indemnify, and hold harmless Learno Pty Ltd, its directors, officers, employees, contractors, and agents against any and all claims, demands, liabilities, damages, fines, penalties, losses, and legal costs (on a solicitor and own client basis) arising out of or connected with:
- Any flight operation, accident, airspace breach, near-miss, or property damage involving aircraft operated by you or your personnel;
- Your breach of any CASA regulation, CASR Part 101 condition, airspace restriction, or operating manual specification;
- Any privacy, trespassing, surveillance, or recording violation resulting from aerial sensors or payloads deployed during your operations;
- Any inaccurate, misleading, or fraudulent records uploaded to the Platform.
13. Suspension & Termination
Either party may terminate the subscription agreement for convenience at the end of the current billing cycle. Learno may suspend or terminate your account immediately if: (a) you fail to pay overdue fees; (b) you violate these Terms or applicable aviation safety laws; or (c) we are required to do so by order of CASA, a court, or other law enforcement authority.
14. Governing Law & Dispute Resolution
14.1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of the State of Queensland and the Commonwealth of Australia.
14.2. Jurisdiction: The parties irrevocably submit to the exclusive jurisdiction of the courts of Queensland, Australia, and the Federal Court of Australia sitting in Brisbane.
14.3. Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be read down or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14.4. Entire Agreement: These Terms, together with our Privacy Policy and Aviation Disclaimer, constitute the entire agreement between you and Learno regarding FlightLedger.
